Competition terms and conditions

(hereinafter as: TERMS)
BY PARTICIPATING IN THIS COMPETITION, YOU AGREE TO THESE TERMS, SOLFLARE’S TERMS OF SERVICE AND PRIVACY POLICY, WHICH EACH FORM A CONTRACT.
1. Organiser. This competition (the “Competition”) is organised and administered by Solrise Finance Ltd (“Solflare“), which is responsible for the competition surfaces, scoring, results and distribution of rewards.
2. Competition period. The Competition runs from 14 September 2026 at 13:30 UTC to 16 October 2026 at 20:00 UTC (the “Competition Period“), subject to clause 12.
3. Eligibility. Participation is open to Solflare wallet holders who are (i) residing in jurisdictions where xStocks are lawfully distributed and (ii) who are eligible to use Solflare wallets as per Solflare’s Terms of Service (the “Participant” or “you”). It is not available in restricted jurisdictions, including the United States, United Kingdom, Canada, Australia and Nigeria, or in jurisdictions subject to applicable sanctions, and is not available to persons subject to sanctions listings. Solflare reserves the right to verify eligibility at any time.
4. Entry. Entry requires acceptance of these terms in the Solflare app during the Competition Period. Entry is per wallet. Scoring begins at the time of entry, and activity before entry does not count.
5. Qualifying activity and Scoring. To earn a score, a Participant must join the Competition through a supported Solflare Competition surface. Each participating wallet starts with zero counted quantity for every eligible xStock. Eligible xStocks are Kraken/Backed company and ETF xStocks identified as eligible on the Competition page.
A finalized purchase through Solflare after the wallet joins increases the counted quantity of the eligible xStock by the quantity received. Selling, transferring, bridging, redeeming or burning that xStock reduces its counted quantity, with the result never falling below zero. Moving it into an unsupported DeFi protocol is also treated as an outflow. Purchases made outside Solflare, transfers into the wallet and assets held before joining do not increase or protect the counted quantity. Returning assets from an unsupported DeFi protocol does not restore it. A later qualifying purchase through Solflare increases the counted quantity again.
Moving counted xStocks into or out of Jupiter Lend, Kamino, Meteora, Raydium, Orca or Piggybank does not reduce the counted quantity where Solflare can reliably attribute and value the position. Activity involving one xStock does not affect the counted quantity of another xStock. In an eligible xStock-to-xStock swap through Solflare, the outgoing asset decreases and the received asset increases.
The score is the time-weighted USD value of the wallet’s counted xStocks over the Competition Period, using Solflare’s canonical xStocks reference prices. Buying earlier and holding longer increases the score. Price appreciation and depreciation both affect it. Failed transactions and activity before joining do not count.
6. Leaderboard. During the Competition Period, ranking is based on each wallet’s projected final score. This estimates the wallet’s final score if its current counted xStocks remain held until the Competition ends and reference prices do not change. The leaderboard updates approximately hourly. After the Competition ends, the projected score resolves to the final score based on the actual time-weighted value held over the full Competition Period. All rankings remain provisional until Solflare completes its review and publishes the final results.
If two wallets have the same unrounded final score, the wallet with the greater total eligible xStocks AUM at the end of the Competition Period ranks higher. This tie-breaker includes eligible xStocks held directly and through supported DeFi protocols, regardless of where they were acquired, and uses the applicable canonical reference prices at Competition end.
The public leaderboard displays the top 100 ranked wallets with positive scores. Other ranked Participants may see their own position privately but are not included in the public list. A publicly ranked wallet is shown using a truncated wallet address together with its score, rank and reward, where applicable. A wallet may enter or leave the public top 100 as rankings change. Publication is carried out on the basis of Solflare’s legitimate interest in operating a transparent and verifiable Competition (Article 6(1)(f) GDPR), having weighed this interest against Participants’ rights and freedoms. By entering, a Participant acknowledges that their truncated wallet address may be displayed if their wallet enters the public top 100.
Your truncated wallet address and ranking may remain on the leaderboard during the Competition, results review and claim window. The leaderboard will be removed when the claim window closes.
7. Rewards. The total reward pool is 50,000 USDC and is distributed among the 100 highest-ranked confirmed winners as follows:
- rank 1 receives 10,000 USDC;
- rank 2 receives 5,000 USDC; rank 3 receives 3,500 USDC;
- ranks 4–5 receive 2,000 USDC each;
- ranks 6–10 receive 1,000 USDC each;
- ranks 11–20 receive 750 USDC each;
- ranks 21–30 receive 500 USDC each;
- ranks 31–50 receive 250 USDC each; and
- ranks 51–100 receive 100 USDC each.
Reward amounts are fixed and denominated in USDC. A Participant may not assign their right to receive a reward before it is distributed. Once distributed, the USDC is held and used like any other USDC in the winning wallet. No cash or alternative reward will be offered.
8. Results and claiming. After the Competition Period closes, Solflare reviews the provisional results, qualifying activity, geographic and sanctions eligibility, and potential breaches of these Terms. Review is expected to take several days and will not exceed 14 days. Rankings become final when Solflare publishes the final results.
Confirmed winners may claim their rewards through Solflare during the claim window stated on the Competition page. Claiming requires the winning wallet to sign and submit the claim transaction. If a confirmed winner does not claim during that window, Solflare will send the reward manually to the same winning wallet after the claim window closes. Every confirmed winner remains entitled to their reward unless disqualified under these Terms.
9. Fair play and Disqualification. Solflare may disqualify any Participant who:
- uses circular, coordinated, artificial or self-dealing transactions or transfers intended to manipulate counted holdings, scores or rankings;
- uses or coordinates multiple wallets to manipulate the leaderboard or obtain more than one reward;
- uses a VPN, proxy server or another technical method to circumvent geographic restrictions or disguise their true location;
- is ineligible under Clause 3 when joining or when rewards are distributed;
- provides false, misleading or inaccurate information during enrolment or an eligibility or results review;
- exploits a technical error, duplicate attribution, unsupported activity or another scoring defect;
- performs fraudulent, abusive or unlawful activity; or
- otherwise materially breaches these Terms or Solflare’s Terms of Service.
Solflare may remove disqualified wallets from the leaderboard and withhold their rewards. Affected Participants may contact Solflare Support if they believe a disqualification resulted from an error. Disqualified wallets may also be excluded from future Solflare competitions.
10. No advice. This Competition is not an offer, solicitation or recommendation to acquire or dispose of any asset, and does not constitute investment, tax, legal or accounting advice. xStocks are exposed to the price of the underlying security and to the risks of holding a tokenised asset. Their value may fall as well as rise.
11. Disclaimers. In the event of any conflict between these Terms and any marketing or promotional materials, these Terms shall govern.
Cryptocurrency and digital assets carry inherent price volatility risk. Solflare bears no responsibility for interruptions or unavailability of internet access, or any other interference that affects a participant’s ability to access or take part in the Competition including timely entry, receipt of notices, or communication with Solflare.
Without limiting any other provision of these Terms, Solflare shall not be held responsible or liable for any loss or damage arising from acts of God, equipment malfunction, acts of terrorism, earthquakes, war, fire, flood, epidemic, explosion, severe weather conditions, embargo, labour disputes, disruptions to transportation of any kind, civil unrest, actions taken by governmental authorities or any other cause outside of Solflare’s reasonable control.
12. Amendments. Solflare may modify, suspend or terminate the Competition or these Terms where necessary to reflect a change in applicable law or regulation, to address a genuine security, fraud or technical issue, to correct an error or to make an operational change that does not reduce your chances of winning or the value of the prizes on offer. Where a change could reasonably be expected to affect your ability to participate or your chances of winning, we will give a notice before it takes effect, by posting the updated Terms and, where practicable, notifying registered participants directly (e.g. by email or in-app notice). Changes will not apply retroactively to entries already validly submitted, except where necessary to comply with law or to address fraud or a security risk.
Solflare may need to adjust how the Competition runs (e.g., correcting a scoring error, extending the entry period after a technical outage). Solflare will only do this for a genuine operational, legal, or fairness-related reason, will not do so in a way that disadvantages entries validly submitted before the change, and will announce the change as soon as reasonably practicable.
13. Taxes and costs. The winners are solely responsible for all applicable taxes, duties, levies, and other charges arising from the receipt or use of the prize, including but not limited to income tax and capital gains tax, in their country of residence. Solflare makes no representations regarding the tax treatment of the prize and recommends that winners seek independent tax advice.
14. Liability. By participating in the Competition, you agree that, to the extent permitted by applicable law: (1) your remedies are limited solely to a claim for monetary damages (if any), and you irrevocably waive any right to seek injunctive or equitable relief; (2) any claims, judgments or awards shall be limited to actual, out-of-pocket third-party costs incurred (if any), capped at five thousand dollars ($5,000), and attorneys’ fees shall not be awarded or recoverable under any circumstances; and (3) you knowingly and expressly waive any right to pursue punitive, incidental, consequential, or special damages, lost profits, or any damages beyond actual out-of-pocket expenses (capped at $5,000), as well as any right to have damages multiplied or otherwise increased.
15. Language. These terms are published in English. Where a translation conflicts with the English text, the English text prevails.
16. Governing law. This competition is governed by the laws of the British Virgin Islands.
17. Consent. By entering the Competition, you agree that any content and any other information submitted by you or collected by Solflare in connection with the Competition may be used by Solflare, including its affiliated business entities. Further, you consent to and opt-in to any communications, including marketing communications, from Solflare.
Except as otherwise contemplated in these Terms, Solflare will use personal information collected in connection with the Competition in accordance with its Privacy policy.
18. Final provisions. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
