Magic by Solflare (Beta) – Early Access Terms

These Magic (Beta) Early Access Terms (“Beta Terms”) govern your access to and use of the Magic AI feature (“Magic” or “Feature“). By enabling or using Magic, you agree to these Early Access Terms.

These Early Access Terms supplement the App’s Terms of Service and Privacy Policy (the “Main Terms”). The Main Terms remain fully applicable. In the event of any inconsistency, these Beta Terms govern solely with respect to the Magic AI feature. 

You acknowledge and understand that Magic is an artificial intelligence-based feature that generates automated responses algorithmically and that you are interacting with an AI system, not a human representative of Solflare. Outputs may vary, may be inconsistent, and may not reflect current conditions or complete information. 

Magic is optional and may be enabled or disabled by you at any time within the App.

1. Beta / Experimental Feature

Magic is provided as an beta, experimental, early-access feature made available to a limited number of users solely for testing, evaluation, and feedback purposes.

Magic is not a final product and may be incomplete, inaccurate, unstable, or subject to errors or security vulnerabilities. Functionality, features, and interfaces may change materially at any time, and Magic may be modified, restricted, suspended, or discontinued, in whole or in part, without notice.

Magic is provided on an “as is” and “as available” basis, without any representations, warranties, or guarantees of any kind, including as to availability, accuracy, performance, reliability, fitness for a particular purpose, or uninterrupted operation. Your use of the Feature is at your sole risk.

To the maximum extent permitted by applicable law, Solflare and its affiliates, officers, directors, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, crypto-assets, or other intangible losses arising out of or related to your access to or use of Magic.

Without limiting the foregoing, Solflare shall not be liable for:

• any inaccuracies, errors, omissions, or outdated information generated by Magic;
• any decisions made or actions taken by you in reliance on outputs generated by Magic;
• any losses resulting from blockchain transactions initiated or authorized by you;
• any interruption, delay, unavailability, or discontinuation of Magic;
• any third-party services, artificial intelligence providers, data sources, or external websites accessed through Magic.

Nothing in these Beta Terms limits or excludes liability that cannot be limited or excluded under applicable law.

Solflare makes no commitment to develop, release, commercialize, or continue supporting Magic beyond the beta phase.

2. No Advice

Magic does not provide financial, investment, legal, tax, trading, or other professional advice, and does not provide recommendations, endorsements, analyses, or solicitations to buy, sell, stake, swap, or otherwise transact in any crypto-asset.

Nothing generated, displayed, summarized, or linked by Magic should be construed as advice or as a recommendation that any particular transaction, strategy, or crypto-asset is suitable or appropriate for you.

You are solely responsible for independently evaluating all information and for making your own decisions, including whether to initiate, confirm, or execute any transaction. Magic generates responses based on available data and automated processes and does not independently verify the accuracy, completeness, or timeliness of information it processes.

3. No Autonomous Execution

Magic does not execute transactions, transmit orders, route transactions, or act on your behalf in any capacity.

Magic does not receive, accept, process, transmit, match, or execute orders in crypto-assets, and does not provide brokerage, order-handling, portfolio management, or crypto-asset service activities.

All blockchain transactions are initiated solely by you and require your independent review, explicit confirmation, and cryptographic authorization using your private keys. No transaction can occur without your direct action.

You retain sole custody and control of your wallet, private keys, transaction parameters, and all crypto-assets at all times.

Solflare does not access, control, or manage your private keys or crypto-assets, and does not act as an intermediary in the execution of any transaction. Nothing in the operation of Magic shall be construed as the provision of crypto-asset services, brokerage services, order execution, or investment advice.

4. User Responsibility and Assumption of Risk

You acknowledge and agree that:

• The App is non-custodial.
• Blockchain transactions are irreversible.
• Crypto-assets are volatile and involve significant risk.
• Magic outputs may be incorrect, incomplete, outdated, or misleading.

You assume full responsibility for all actions taken using the Feature and for any resulting outcomes or losses.

You are solely responsible for ensuring that your use of Magic complies with applicable laws and regulations in your jurisdiction.

Magic may allow you to view or delete prior interactions or chat history. If you choose to delete any chat history or interaction, such deletion may be permanent and irreversible.

Solflare does not guarantee the availability, retention, or recoverability of chat history and shall not be responsible for any loss of deleted content. You are solely responsible for retaining copies of any information you wish to preserve.

Any price alerts or notifications generated by Magic are provided for informational purposes only. Solflare does not guarantee the accuracy, timeliness, delivery, or availability of alerts, and you remain solely responsible for monitoring market conditions and making independent decisions.

5. Acceptable Use of Magic

You agree not to misuse Magic or use it in a manner that could harm Solflare, other users, or the integrity of the Feature. This includes, without limitation, attempting to exploit vulnerabilities or publicly disclose non-public technical issues or security vulnerabilities without prior notice to Solflare.

6. Third-Party Services and AI Providers

Magic may rely on, integrate with, or incorporate third-party services, including third-party artificial intelligence providers, data providers, and other external services.

Solflare does not control and does not guarantee the accuracy, completeness, availability, or reliability of third-party services or AI-generated outputs.

7. External Links and Third-Party Content

Magic may provide links to external websites or display third-party content for convenience. Such websites and content are not operated or controlled by Solflare. While Solflare may use reasonable efforts to surface content from sources it considers reputable, Solflare does not endorse, verify, or guarantee the accuracy, availability, security, or reliability of any third-party websites or content.

You access third-party websites at your own risk and should review their applicable terms and privacy policies before engaging with them.

Solflare has no obligation to monitor, review, screen, or update any outputs, third-party content, or external links generated or displayed by Magic.

8. Privacy

Your use of Magic is subject to the Privacy Policy and the Magic (Beta) Privacy Notice, which describe how inputs and related data may be processed.

9. Feedback and Testing

As Magic AI is an beta, experimental feature, you may be invited to provide comments, suggestions, feedback, or other input regarding the Feature (“Feedback”).

You agree that any Feedback you provide is voluntary and may be used by Solflare without restriction, attribution, or compensation to you. To the extent permitted by law, you grant Solflare a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, and incorporate such Feedback for any lawful purpose, including improving the Feature and related services.

Solflare may monitor, review, and analyze usage of Magic for testing, debugging, security, abuse prevention, and product improvement purposes, in accordance with the Privacy Policy.

10. Suspension and Removal from Beta Program

Solflare may, at its sole discretion and at any time, with or without notice, suspend, restrict, or terminate your access to Magic or remove you from the beta program, for any reason or no reason.

Without limiting the foregoing, Solflare may take such action if:

• you misuse the Feature,
• you attempt to circumvent safeguards or technical limitations,
• you use the Feature for unlawful, abusive, fraudulent, or manipulative purposes,
• your use poses legal, regulatory, security, or reputational risk to Solflare or other users, or
• Solflare determines that continued access is not appropriate.

Removal from the beta program does not affect your continued access to the App under the Main Terms.

11. Availability and Rollout

Access to Magic may be provided on a staged, limited, or rolling basis. Solflare does not guarantee that Magic will be available to any user at any particular time, in any jurisdiction, or without interruption. Solflare may, at its sole discretion and without notice, limit, delay, suspend, withdraw, or restore access to Magic, in whole or in part, including based on system performance, stability, capacity constraints, maintenance, bug fixes, security concerns, legal or regulatory considerations, or any other operational or technical reason.

12. Acceptance

By enabling or using Magic, you acknowledge that you have read, understood, and agree to these Beta Terms.

Magic (Beta) – Privacy Notice

This Magic (Beta) Privacy Notice (“Beta Privacy Notice”) supplements the App’s Privacy Policy and applies specifically to your participation in the Magic beta program and your use of the Magic feature.

Except as described below, all processing of personal data remains governed by the App’s Privacy Policy.

1. Beta Waitlist and Selection

If you register interest in the Magic beta program (e.g., by joining a waitlist), Solflare may process your email address and related information for the purposes of:

• administering the waitlist,
• selecting participants for the beta program,
• communicating access instructions, updates, and related information, and
• managing participation in the beta program.

Participation in the beta program is voluntary. You may opt out of communications at any time.

2. Inputs and Processing

When using Magic, you may submit free-text inputs, prompts, or queries. These inputs are processed to generate responses and to operate, maintain, secure, and improve the Magic feature.

Magic is not designed to require or solicit personal data within user inputs. You should not include personal data or sensitive information (including, without limitation, financial details, identification numbers, contact information, or confidential data) in your messages. Solflare does not actively seek to collect personal data through Magic.

To the extent you voluntarily include personal data in your inputs, such data will be processed in accordance with this Beta Privacy Notice and the Privacy Policy. You remain responsible for the content you choose to submit through Magic.

3. Third-Party AI Service Providers

To provide Magic, user inputs and related data may be processed by third-party service providers, including artificial intelligence providers, acting on Solflare’s behalf.

Such providers process data subject to contractual safeguards and applicable data protection laws.

4. Purpose and Legal Basis

Personal data processed in connection with the Magic beta program is processed for the purposes of:

• providing and operating the Magic feature, including generating responses and delivering alerts or notifications requested by you,
• administering the beta program,
• communicating with selected participants,
• ensuring security and preventing abuse, and
• testing, debugging, and improving the feature.

Processing is based on:

• performance of a contract (providing the feature),
• legitimate interests (testing, security, improvement), and/or
• your voluntary participation in the beta program.

5. Retention

Inputs and related metadata (including system logs) may be retained for a limited period for security, abuse prevention, debugging, and improvement purposes, in accordance with the Privacy Policy.

Deleted chat history within the App may not be recoverable. However, system logs or security records may be retained as required for operational, legal, or security purposes. 

6. Your Rights

Your data protection rights remain as described in the Privacy Policy. Participation in the beta program does not affect your rights under applicable data protection laws.
